End User License Agreement

Effective date: July 9, 2026

This End User License Agreement (this “Agreement”) is a binding contract between Broadworld LLC, a California limited liability company doing business as Collabrio (“Broadworld,” “we,” “us”), and the organization or individual accessing or using the Collabrio software, websites, mobile applications, APIs, and related services (collectively, the “Service”) (“Customer,” “you”). By creating an account, clicking to accept, or accessing or using the Service, you accept this Agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to it. If you do not agree, do not use the Service.

1. License

Subject to this Agreement and payment of applicable fees, Broadworld grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal property-management business purposes during the term. All rights not expressly granted are reserved by Broadworld. The Service is licensed, not sold.

You are responsible for all activity under your organization's accounts, including the acts and omissions of your administrators, staff, and invited portal users, and for maintaining the confidentiality of credentials. You must provide accurate account information and promptly notify us of any unauthorized use. We may suspend any account that we reasonably believe threatens the security, integrity, or availability of the Service.

4. Customer data

As between the parties, you own the data your organization submits to the Service (“Customer Data”). You grant Broadworld a worldwide, royalty-free license to host, copy, process, transmit, display, and back up Customer Data as necessary to provide, secure, support, and improve the Service and to comply with law. You are solely responsible for the accuracy and legality of Customer Data and for obtaining all consents required to submit it (including from tenants, applicants, owners, and vendors). Broadworld may use aggregated and de-identified data that does not identify you or any person for analytics, benchmarking, and improving the Service. Our handling of personal information is described in the Privacy Policy.

5. Third-party services

The Service interoperates with optional third-party services you connect (for example Stripe, DocuSign, and Intuit QuickBooks Online). Your use of a third-party service is governed solely by that third party's terms, and Broadworld is not responsible for third-party services, their availability, or their handling of your data. Connecting a third-party service authorizes us to exchange data with it on your behalf.

6. Fees; billing

Fees are billed in advance on a recurring basis at the rates in effect for your plan, are non-cancelable and non-refundable to the fullest extent permitted by law, and are exclusive of taxes, which you are responsible for (excluding our income taxes). Subscriptions renew automatically until cancelled effective at the end of the then-current billing period. We may change pricing prospectively upon notice (which may be by email or in-product); continued use after the change takes effect constitutes acceptance. We may suspend the Service for amounts past due.

7. Term; suspension; termination

This Agreement applies for as long as you use the Service. You may stop using the Service and cancel at any time, effective at the end of the current billing period. Broadworld may suspend or terminate the Service, your account, or this Agreement at any time, with or without cause and with or without notice, including for suspected violation of this Agreement, risk to the Service or other customers, non-payment, or discontinuation of the Service. Upon termination your license ends immediately. For 30 days following termination (except termination for your breach) we will make Customer Data available for export on request, after which we may delete it, subject to the retention described in the Privacy Policy. Sections 2, 4 (license to Broadworld), and 8–15 survive termination.

8. Intellectual property; feedback

Broadworld and its licensors own all right, title, and interest in and to the Service, including all software, designs, and documentation, and all improvements and derivatives. If you provide suggestions or feedback, you assign to Broadworld all rights in that feedback, and we may use it without restriction or compensation.

9. Confidentiality

Neither party will disclose the other's non-public information received in connection with the Service except to provide or use the Service, comply with law, or with consent. This does not limit Broadworld's rights in Section 4.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROADWORLD DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. THE SERVICE IS A SOFTWARE TOOL AND DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, OR COMPLIANCE ADVICE; OUTPUTS (INCLUDING AI-GENERATED CONTENT AND ACCOUNTING REPORTS) MUST BE INDEPENDENTLY VERIFIED BY YOU AND YOUR PROFESSIONAL ADVISORS BEFORE RELIANCE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL BROADWORLD OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) BROADWORLD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT, UNDER ANY THEORY, WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU ACTUALLY PAID TO BROADWORLD FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN.

12. Indemnification

You will defend, indemnify, and hold harmless Broadworld and its members, managers, officers, employees, and agents from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer Data; (b) your use of the Service or violation of this Agreement or applicable law (including fair-housing, FCRA, landlord-tenant, and privacy laws); (c) your products, services, or relationships with tenants, applicants, owners, or vendors; or (d) disputes between you and any portal user or third party.

13. Changes to the Service and this Agreement

We may modify, add, or discontinue features of the Service at any time. We may update this Agreement from time to time by posting the revised version at this URL and updating the effective date; material changes may also be notified by email or in-product. Continued use of the Service after a revision takes effect constitutes acceptance of the revised Agreement.

14. Governing law; binding arbitration; class waiver

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute, claim, or controversy arising out of or relating to this Agreement or the Service will be resolved exclusively by final and binding arbitration administered by JAMS under its rules then in effect, seated in Marin County, California, before a single arbitrator, in English. Judgment on the award may be entered in any court of competent jurisdiction. Either party may bring an individual claim in the small-claims court of Marin County, California, and Broadworld may seek injunctive or equitable relief for infringement or misuse of intellectual property or unauthorized access in the state or federal courts located in Marin County, California, to which you consent to personal jurisdiction and venue. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY ONLY — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING — AND EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. Except where prohibited by law, any claim must be filed within one (1) year after it accrues or it is permanently barred.

15. General

You may not assign this Agreement without Broadworld's prior written consent; Broadworld may assign it freely, including in connection with a merger, acquisition, or sale of assets. You will comply with U.S. export-control and sanctions laws. The Service is “commercial computer software” for U.S. government users. Broadworld is not liable for delays or failures caused by events beyond its reasonable control. Notices to Broadworld must be sent to info@broadworld.com; notices to you may be given by email to your account address or in-product. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. No waiver is effective unless in writing. This Agreement, together with the Privacy Policy and any order form, is the entire agreement between the parties regarding the Service and supersedes all prior agreements on that subject.
